Cipher LLC Terms of Service

IMPORTANT ARBITRATION NOTICE — PLEASE READ. Subject to certain exceptions and a 30-day opt-out opportunity, this contract requires most disputes between you and Cipher to be resolved by FINAL AND BINDING INDIVIDUAL ARBITRATION, not in court. YOU AND CIPHER WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The Federal Arbitration Act governs, and AAA Consumer Arbitration Rules apply. By creating an account, purchasing a subscription, or using the Services, you acknowledge and agree to this arbitration agreement. See Section 19 of these Terms of Service.
1. Overview; Acceptance. These Terms of Service (“Terms”) govern your access to and use of Cipher’s website, web application, and subscription services (together and individually, the “Services”). By creating an account, purchasing a subscription, or using the Services, you agree to these Terms.
2. Eligibility; Adult Consumer Use Only. You must be at least 18 years old to use the Services. The Services are offered to individual consumers for personal use and are not intended for resale, staffing, or managed-service provision to third parties.
3. Services; Plans and Features.
- Overview. Cipher offers a free trial and a paid membership subscription. Features, usage limits, and prices are described via the Services and in your applicable checkout, order, or in-product plan selection (each, an “Order Form”). In the event of conflict, the Order Form controls for your plan. Cipher may add, remove, or modify features from time to time, including trials and beta features.
- Incorporation by reference. The features and usage quotas for each plan, including the size of each Allowance of tailored resumes and of job descriptions (“JDs”) you may have assessed, the interval on which Allowances are granted, and the price of any Add-on Pack, are incorporated by reference from posts via the Services and from your Order Form. Cipher may update plan features and quotas from time to time. The then-current description on the Services will apply for new terms, and your Order Form governs your purchased term.
- Current Plans. As of the Effective Date, the plans are as follows. Allowances and prices for each are as described via the Services and in your Order Form, and may change on notice via the Services. 1. Free Trial. No payment card required. Includes access to Career Record session(s) and exports, together with a limited Allowance of tailored resumes and assessed JDs as described via the Services. Downloads do not count against your Allowance. Editing a tailored resume you have generated is unlimited. Each tailored resume you generate is offered its fit scores when it is generated; scores not taken then do not carry forward, and generating another tailored resume for the same JD uses another tailored resume from your Allowance. The Free Trial does not renew. 2. Membership (Paid). Includes a recurring Allowance of tailored resumes and assessed JDs, as described via the Services and in your Order Form. Editing a tailored resume you have generated, and saving its score report, are unlimited. Each tailored resume you generate is offered its fit scores when it is generated; scores not taken then do not carry forward. Generating another tailored resume, including for the same JD, uses another tailored resume from your Allowance. Downloads do not count against your Allowance. Additional tailored resumes may be purchased in Add-on Packs as posted via the Services. The size of each Allowance, the interval on which it is granted, and any period after which unused Allowance expires are as described via the Services. Tailored resumes purchased in an Add-on Pack do not expire and remain available for as long as your account remains active, including while paused. Fit-score reports are saved to your account. Pricing is as posted via the Services and your Order Form.
- Fit scores, score reports, and exports. Cipher analyzes each JD into individual requirements and matches them against your confirmed Career Record. For each requirement, you choose which of your experience Cipher draws on; Cipher selects what else appears and may shorten the resume to fit the length you ask for. Review each resume before you use it. Fit scores assess a tailored resume's match to the JD and are offered when that resume is generated. Score reports are saved to your account. DOCX/PDF exports are available as described for your plan in posts via the Services and your Order Form.
4. Accounts; Security. You must provide accurate information, keep your credentials secure, and promptly update your details. Accounts are personal and may not be shared.
5. Subscription Terms; Auto-Renewal; Trials; Pause; Cancellation; No Refunds.
- Auto-renewal. Unless expressly provided to the contrary on your Order Form, subscriptions renew automatically until canceled. You may end your subscription at any time from your account settings, without contacting us and without any step that was not required to subscribe. Your access continues through the end of the term you have already paid for, after which your account becomes paused as described in Section 5.3. Ending your subscription does not delete your account or your content. Permanently deleting your account is a separate action, available in the same place and separately labelled; it erases your account and everything in it immediately and cannot be undone, as described in the Privacy Policy. Deleting is not required in order to stop billing. Cipher will give you any renewal, price-change, or reminder notices required by applicable law, using the contact method on file for your account.
- Free Trial. Free Trial requires no payment card. Usage limits are as described in Section 3.3.1 and in posts via the Services. Free Trial does not convert automatically to a paid Membership subscription.
- Pause. Your Membership becomes paused when you end your subscription and the term you have paid for comes to an end. A paused Membership is free and lasts until you resume. While paused, billing stops, no new Allowance is granted, and you cannot upload new material, edit your Career Record or master resume, or start new Career Record sessions. You keep access to your Career Record, your master resume, and your resume library, so you can view and download them at any time. Tailored resumes you purchased in an Add-on Pack remain yours while paused: you can use them to generate tailored resumes, receive their fit scores, and download them, as provided in Section 3.3.2. Any unused Allowance you already hold continues to expire on its normal schedule. You may resume at any time by subscribing again, with your work intact.
- No refunds. Except where required by law, subscription fees and Add-on Pack fees are nonrefundable once charged. Cancellation stops future renewal charges but does not entitle you to a refund for the current billing period.
6. Billing and Payment. Payments are processed by Cipher’s third-party payments provider, currently Stripe. You provide your card details directly to Stripe. Cipher does not receive them. You authorize Cipher (and its processor) to charge all amounts owed for subscriptions and add-ons to your designated payment method.
7. Definitions.
- “Career Record” means your private corpus of information about your work history and career, including uploads and text answers you provide within the Services.
- “Effective Date” means the Last Updated date displayed at the top of these Terms. If Cipher specifies a later effective date in a notice posted via the Services, that later date is the Effective Date for the update.
- “Member Content” means all content you submit or upload, including resumes, job descriptions, Career Record entries, and other materials and information you provide.
- “AI Features” means functionality that uses machine learning or artificial intelligence to analyze inputs and generate outputs (for example, Career Record analysis, resume building and tailoring, fit scoring, and JD requirement matching).
- “Allowance” means the tailored resumes and assessed JDs included with your plan, granted at the interval and in the quantities described via the Services and in your Order Form. Unused Allowance expires as described via the Services.
- “Add-on Pack” means tailored resumes you purchase in addition to your Allowance, as described in Section 3.3.2.
8. Your Content; License to Cipher.
- Ownership. As between you and Cipher, you retain ownership of your Member Content, including your Career Record data.
- License. You grant Cipher a worldwide, non-exclusive license to host, process, and use Member Content, including Career Record data, to provide and operate the Services, including AI Features you request.
- Outputs. Cipher does not claim ownership of AI-generated outputs. You may use AI-generated outputs (e.g., resumes and scores) for your personal job-search use, subject to these Terms. AI-generated content may not be eligible for copyright protection in every jurisdiction, and Cipher makes no representation about the copyright status of any output.
- Your responsibilities. You represent you have rights to submit such content, including any job posting or description text you paste into the Services. You alone are responsible for the accuracy and legality of your Member Content, including your Career Record data.
9. AI Features; Third-Party Providers; Sensitive Information.
- Processing by AI providers. When you use AI Features, relevant Member Content (e.g., resume text, Career Record entries, job descriptions) may be transmitted to third-party AI service providers to generate outputs for you. Cipher currently uses Anthropic and/or Google Gemini. For reliability, if one is unavailable, content may be processed by the other.
- No training on your Career Record. Cipher does not use personal Career Record content to train third-party or Cipher-controlled model weights. Cipher’s improvement occurs via de-identified, aggregate patterns drawn from outcome data and product-usage patterns, built from records of users who are currently opted in, with member opt-in controls and small-group protections against re-identification.
- Sensitive information. Member Content may include special-category or sensitive personal information (e.g., health, disability, immigration, or protected-class details). Cipher does not filter such information from uploads or free-text before AI processing. Do not include sensitive information you do not want processed unless necessary for your use of the Services. By submitting any such information, you affirmatively consent to Cipher’s collection and processing of it as described in these Terms and the Privacy Policy.
- Output use. AI outputs may contain errors or omissions and are provided for your discretionary use. They are not advice or a guarantee of certain results.
10. Acceptable Use. You will not, and will not permit others to:
- Violate law or third-party rights; submit unlawful or infringing content; or attempt to probe, breach, or disrupt security.
- Misuse AI Features to fabricate or materially misrepresent your qualifications; the Services are designed to express work you actually performed and confirmed.
- Copy, modify, or reverse engineer any components of the Services.
11. Output Use; Not Professional Advice. Outputs, analytics, and scores offered through the Services are informational aids to help you prepare job applications. They are not legal, career, or other professional advice. Cipher does not guarantee interviews, jobs, or specific outcomes. You alone are responsible for your use of the Services and any decisions you make in connection with your use of the Services. Cipher is not an employer and does not make or participate in any third party’s hiring decisions. Outputs and scores are self-assessment tools for your own personal use.
12. Privacy; Processors. Cipher’s collection, use, and sharing of personal information is described in its Privacy Policy, which is incorporated by reference. Without limiting that policy, Cipher uses third-party processors for hosting, sign-in, payments, email, analytics, error monitoring, and AI processing (including, for example, Supabase, Vercel, Stripe, Resend, PostHog, Sentry, Anthropic, and Google).
13. Intellectual Property; Feedback. The Services, including software, models, templates, user interface, website content, and methods, are owned by Cipher or its licensors. If you provide feedback, you grant Cipher a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction and without attribution.
14. Service Changes; Suspension. Cipher may modify or discontinue features and may suspend or terminate access for violations of these Terms, for nonpayment, or to address security, fraud, or legal risks.
15. DISCLAIMERS. THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIPHER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INCOMPLETE, INCORRECT, OR UNSUITABLE FOR YOUR SITUATION.
16. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIPHER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. CIPHER’S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO CIPHER FOR THE SERVICES DURING THAT PERIOD.
17. Indemnification. You will indemnify and hold harmless Cipher and its affiliates, and their officers, directors, employees, and agents, from and against claims, losses, and expenses (including attorneys’ fees) arising from your Member Content, your use of the Services (including AI Features), or your violation of these Terms or applicable law.
18. Governing Law; Exclusive Venue.
- Governing law; Exclusive Venue. All matters relating to the Services and these Terms and any dispute or claim arising from or relating to the same, shall be governed by and construed in accordance with the internal laws of the State of Connecticut, without giving effect to any choice or conflict of law provision or rule. Without limiting the foregoing, the Federal Arbitration Act (FAA) shall govern the interpretation and enforcement of binding arbitration provisions of Section 19 (DISPUTE RESOLUTION; ARBITRATION AGREEMENT; JURY TRIAL/CLASS ACTION WAIVER). Connecticut law governs all other matters.
- Exclusive venue. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services and permitted to be brought in court under Section 19.4 (Exceptions) and/or 19.6 (Opt-Out Right) shall be instituted exclusively in the U.S. District Court for the District of Connecticut or the courts of the State of Connecticut. As an exception to the foregoing exclusive venue, eligible small claims matters may be brought in small claims court in Connecticut. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts except as expressly provided for small claims matters above. If there is any inconsistency between this Section 18 (Governing Law; Exclusive Venue) and Section 19 (DISPUTE RESOLUTION; ARBITRATION AGREEMENT; JURY T RIAL / CLASS ACTION WAIVER), Section 19 controls.
19. DISPUTE RESOLUTION; ARBITRATION AGREEMENT; JURY TRIAL / CLASS ACTION WAIVER.
- Informal Resolution. Before initiating any formal proceeding, you agree to contact us at hello@cipherresume.ai to describe the dispute and give us sixty (60) days to attempt informal resolution. This requirement does not apply if you seek emergency injunctive relief pursuant to Section 19.4 (Exceptions) .
- Binding arbitration. If we cannot resolve the dispute informally, you and Cipher LLC agreed to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, unless you and Cipher agree otherwise in writing. The seat of arbitration is Connecticut. Judgment on the award may be entered in any court with jurisdiction. Before filing an arbitration, you and Cipher agree to send written notice of the dispute to the other party and attempt to resolve it informally for at least 30 days.
- Mass filings. If 25 or more similar arbitration demands are filed against Cipher by or with the same or coordinated counsel within a 60-day period, the AAA’s Supplementary Rules for Multiple Case Filings (or successor rules) will govern, including batching, fee adjustments, and resolution of bellwether cases before any other case proceeds. Each party agrees to cooperate in good faith with that process.
- Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction for infringement or misappropriation of intellectual property rights. Any such court action shall be brought in the courts identified in Section 18 (Governing Law; Exclusive Venue). The exercise of such rights does not waive either party's right to arbitrate other claims.
- CLASS-ACTION AND JURY WAIVER. YOU AND CIPHER AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND CIPHER WAIVE THE RIGHT TO A JURY TRIAL TO THE EXTENT PERMITTED BY LAW. IF THIS CLASS-ACTION WAIVER IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM, THAT CLAIM (AND ONLY THAT CLAIM) MUST PROCEED IN COURT, AND THE REST OF THIS ARBITRATION AGREEMENT REMAINS IN FORCE.
- Opt-Out Right. You may opt out of those provisions of Section 19 that require arbitration and that waive class action and jury trial rights by sending written notice to hello@cipherresume.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration and out of waiving your rights to class action and jury trial. If you timely opt out, all disputes not otherwise resolved pursuant to Section 19.1 (Informal Resolution) shall be resolved in court as provided in Section 18 (Governing Law; Exclusive Venue), and you retain all rights (including the right to a jury trial and to participate in a class action) that this Section 19 would otherwise waive. Opting out shall not affect any other provision of these Terms.
